Article 1. Purpose and scope
These Terms govern NexSupply membership and the use of services for purchasing products in China, checking suppliers, inspection, local processing, international transport and customs-clearance coordination.
The general terms apply to all members. The products, scope, costs, schedule and roles of the parties for each order are supplemented by the quotation and order-specific documents confirmed by the customer. These Terms do not restrict any customer rights otherwise provided by applicable law.
Article 2. Definitions
A ‘customer’ means an individual or business using the service through an individual, business or seller account. An ‘individual consumer’ means a consumer under the Korean Act on Consumer Protection in Electronic Commerce, Etc. who places an order for personal consumption rather than business activities. A ‘business-purpose order’ means an order for resale, production, commercial operations or other business activities. The nature of a transaction is determined by the actual purpose of the order, not solely by the membership type selected at registration.
A ‘quotation’ is an electronic document specifying products, the scope of work, estimated and confirmed costs, the schedule and the roles of the parties. ‘Work specifications’ set out inspection, labeling, packaging and processing standards. ‘Dispatch approval’ means the customer’s electronic confirmation, based on the results reviewed, that international transport may begin.
The ‘importer’ means the party identified in the order-specific documents as responsible for customs declarations and payment of customs duties and import VAT.
Important provision
Article 3. Effect and amendments
These Terms apply to a member once they have been posted on the service and the member has confirmed them during registration or any required renewed-consent process. The Company records the time of consent and the applicable version.
The Company may amend these Terms to the extent permitted by applicable law. The effective date and reasons for amendment will be posted on the service and communicated through a verifiable method, such as the registered email address, at least 7 days before an ordinary change and at least 30 days before a material change or one disadvantageous to members.
Members who do not agree to amended Terms may terminate their service agreement before the effective date. Separate consent will be obtained for changes imposing new obligations or requiring express renewed consent. Orders for which the quotation was accepted before the amendment remain subject to the Terms applicable at that time, unless otherwise required by law or agreed by the parties.
Important provision
Article 4. Services and roles
At the customer’s request, NexSupply purchases products in China, checks supplier materials, conducts inspections and local processing, and coordinates international transport and customs-clearance schedules. The scope is confirmed in the quotation for each order.
Contractual roles, such as seller, manufacturer, purchasing agent and importer, and responsibility for tax payments may differ according to the order arrangement and are stated in the quotation. Unless separately agreed in writing, the customer is the importer and NexSupply is not the product manufacturer.
For matters requiring confirmation with a seller in China, such as defective or incorrect goods, NexSupply discusses replacement, replenishment or refunds with the seller and shares progress records with the customer. This provision does not exclude NexSupply’s liability for intentional misconduct or negligence in its own work, or its liability under applicable law.
Article 5. Registration and account use
Members must provide accurate names, contact details, company information and order information, and securely manage the means of accessing their accounts. Minors must obtain their legal representative’s consent for transactions requiring such consent. Without it, the contract may be cancelled in accordance with applicable law.
If prohibited or restricted items, orders suspected of infringing another party’s intellectual property rights, false information, outstanding payments or interference with the service are identified, the Company may explain the reasons and required measures and restrict the order or account only to the extent necessary. In an urgent legal or security situation, the Company may impose a restriction first and notify the member without delay.
Important provision
Article 6. Application information and formation of contracts
Consultation, submission of an inquiry and the initial review are free of charge. Submission alone does not initiate payment, an order or paid work. Where paid research, samples or on-site work are required, the scope and costs are explained in advance.
The customer must provide accurate product names, variants, quantities, intended use, recipient details and customs information. After the Company reviews the information, issues a quotation and obtains the customer’s acceptance, the order contract is formed when payment or the commencement conditions specified in the quotation are confirmed. No order is placed with the seller in China before that point.
Quotations, work specifications, dispatch approvals and agreed changes are provided in electronic documents that can be saved. Unclear or changed information is reconfirmed before the next stage.
Important provision
Article 7. Quotations, costs, exchange rates and settlement
The quotation separately identifies items that can be confirmed, including product costs, service fees and VAT, delivery within China, inspection and local processing. Items that cannot readily be confirmed in advance, such as international freight, customs duties, import VAT, customs clearance, storage and domestic delivery, are shown with estimated amounts and calculation bases.
Where conversion to Korean won is required, the quotation states the exchange rate, reference time and whether fees are included, and the customer’s confirmation is obtained. If measured weight or volume, product classification or third-party charges change an estimate, the calculation basis and difference are explained.
As a rule, additional costs not included in the approved quotation are incurred only after the reason and amount have been notified in writing and the customer’s consent has been obtained. Where obtaining prior consent is impracticable in order to prevent further loss or statutory surcharges, the minimum necessary measures and supporting evidence are communicated immediately. Any settlement difference is collected or refunded together with an itemised statement.
Important provision
Article 8. Cancellation, withdrawal, returns and refunds
An order may be cancelled without charge before payment. Even after payment, if payment to the seller in China or the agreed paid work has not begun, the amount will be refunded less any actual, unrecoverable costs incurred in payment or currency exchange.
An individual consumer may exercise the right of withdrawal under applicable law within 7 days after receiving the electronic document containing the contract terms. If the supply of goods begins later, the period is 7 days from receipt of the goods or commencement of supply. If performance differs from the description, advertising or contract, withdrawal is available within 3 months of receipt and within 30 days after the consumer became, or could have become, aware of the discrepancy.
Statutory exceptions, including individually ordered, manufactured or processed goods at the customer’s request where withdrawal is expected to cause substantial loss that would be difficult to recover, apply only to the extent that the reasons were prominently identified in the quotation or work specifications before ordering and separately acknowledged.
For business-purpose orders, the outcome of cancellation or return may vary according to the order quotation, work specifications and the seller’s return terms. Where the seller’s approval is required after payment to the seller in China, the Company takes the necessary steps to seek approval and communicates progress. These conditions do not restrict an individual consumer’s statutory rights.
Any actual costs deducted are presented in a verifiable, itemised statement, such as return freight to and from China, remittance and currency-exchange fees, completed inspection, packaging or labeling work, and materials used. Return costs where goods do not conform to the contract or withdrawal results from the Company’s responsibility are governed by applicable law.
Refunds for an individual consumer’s lawful withdrawal are processed within 3 business days from the date prescribed by applicable law. Other agreed cancellations are refunded through the original payment method within 3 business days after the refund amount is confirmed. If that is not possible, payment is made to an account agreed with the customer. Requests may be submitted through workspace order messages or the operations email address.
Article 9. Inspection, exchanges and defects
Inspection items, sample quantities, tolerances and checking methods are specified in the quotation or work specifications. Basic receiving checks do not guarantee the operation, dimensions or absence of internal defects for every variant. The result records distinguish checked and unchecked items.
Where inspection or dispatch checks form part of the contract, the results are shared with the customer and international transport begins after dispatch approval. Defects, incorrect goods or shortages identified at the warehouse in China are discussed with the seller for replacement, replenishment or refund based on photographs and records.
A customer who discovers a problem after arrival in Korea must provide the order number and photographs or video capable of preserving evidence of the condition. The Company responds after reviewing the agreed scope and the seller’s and carrier’s procedures. This provision does not restrict statutory rights concerning defects or damages.
Article 10. Packaging, transport and storage
Consolidated packing, carton removal, reinforcement, country-of-origin and Korean-language labeling, repacking into smaller units and custom packaging follow customer-approved specifications. Final freight is settled based on the greater of actual or volumetric weight, cargo specifications and the carrier’s charges.
The free storage period, additional storage fees and return terms are stated in each order’s quotation. If prolonged non-response or non-payment makes continued storage difficult, the Company notifies the customer of the costs and planned action date, allows a reasonable period for confirmation, and then takes necessary measures, including return, in accordance with applicable law and individual agreements.
Article 11. Imports, customs clearance and restricted items
The Company may reject or stop handling counterfeit goods, illegal products, dangerous goods or items that cannot be handled under applicable law. Products relating to food, cosmetics, electrical goods, batteries, children’s products, medical use, quarantine or intellectual property may require specialist confirmation from certification bodies, customs brokers or other professionals before ordering.
The importer, party responsible for taxes and customs-clearance method are stated in the order documents. Customers must provide accurate information on intended use, ingredients or composition, brand-use rights and customs matters. The Company does not guarantee certification or customs-clearance outcomes and distinguishes confirmed information from unverified risks.
Customers must confirm that they have the right to use any trademarks, designs or content supplied for the order. If infringement is reasonably suspected, the Company may suspend work until verification is complete.
Article 12. Delays and force majeure
Estimated schedules may change due to stock availability, holidays in China, seller production, port or customs inspections, or carrier schedules. Unless a fixed date is separately guaranteed in writing, schedules displayed publicly or in quotations are estimates.
If circumstances beyond the Company’s reasonable control arise, such as natural disasters, infectious disease, government or customs restrictions, port closures or suspension of shipping or airline services, the Company communicates the confirmed facts and effects and discusses available alternatives. The portion that can no longer be performed may be cancelled, and any unspent balance is refunded.
Important provision
Article 13. Compensation and liability
Where the Company causes loss to a customer through intentional misconduct or negligence in work it performs directly, it is liable in accordance with applicable law and the individual contract.
Loss, damage and transport incidents are handled after reviewing the actual payment and customs-declared values, transport insurance coverage, and investigation results from the seller and carrier. Such third-party procedures do not exclude the Company’s liability for its own intentional misconduct or negligence, or statutory rights afforded to individual consumers and others.
A customer may be responsible for loss directly caused by false information, unauthorized use of trademarks or designs, or instructions maintained after a written warning, after the cause and actual extent of the loss have been established.
Article 14. Personal information and notices
Member information and order materials are processed in accordance with the Privacy Policy and applicable law. Where provision to third parties such as sellers, carriers or customs brokers, or an overseas transfer, is necessary to deliver the service, the recipients and purposes are disclosed in the Privacy Policy or during the order process.
General notices are provided through the service, workspace or registered email. Matters important to customer rights, such as material amendments to these Terms, payment, orders, refunds and order status, are also communicated through a verifiable individual channel. Members must keep their email address and telephone number current and reachable.
Important provision
Article 15. Inquiries, dispute resolution and jurisdiction
Service inquiries and complaints may be submitted by operations email or workspace order messages. As a rule, the Company responds within 3 business days of receipt with acknowledgement, progress or a request for additional information.
Individual consumer disputes that cannot be resolved through discussion may be referred to the 1372 Consumer Counselling Center, the Korea Consumer Agency’s consumer redress service, or dispute mediation under applicable law.
These Terms and individual orders are governed by the laws of the Republic of Korea. If litigation is necessary, jurisdiction is determined under applicable law, including the Korean Civil Procedure Act.
Important provision
Article 16. Priority and limits of individual agreements
If the quotation, work specifications or dispatch approval confirmed by the customer for an individual order differ from these Terms, the individual agreement takes priority only in relation to that order’s specific products, scope, costs and schedule.
However, an individual agreement does not exclude or change to the customer’s disadvantage mandatory legal provisions, individual consumers’ withdrawal or refund rights, the Company’s liability for intentional misconduct or negligence, or the customer’s dispute-resolution rights.
Conditions disadvantageous to the customer or not ordinarily foreseeable are prominently disclosed and separately acknowledged before ordering.
Supplementary provisions: effective date and revision history
These Terms take effect on 13 August 2026. Orders for which the quotation was accepted before this date remain subject to the Terms applicable at that time, unless otherwise required by applicable law or agreed by the parties.
